The following are the rules that apply to the FMA Card Travel & Rewards Program ("Program"). Please read these rules carefully. Use of your FMA Card after your Enrollment Date will signify that you have read and agreed to all of the following provisions. The Enrollment Date is the day Program enrollment processing is completed by Smith Barney.

Questions regarding the Program, including questions about your point balance and/or point redemption, may be directed to the FMA Card Reward Redemption Center at 1-800-507-9116 during the hours of 8:00 a.m. to 8:00 p.m., Eastern Time, Monday through Friday. Written correspondence should be addressed to Smith Barney, FMA Card Travel & Rewards Program, 388 Greenwich Street, 17th Floor, New York, NY 10013.

As used in these rules, the word "you" means any Smith Barney FMA, FMA PLUSsm or Business FMA account owner who holds an activated FMA Card and is enrolled in the Program ("Member") or other individual authorized by a Member to hold an FMA Card ("FMA Card holder"). The words "we" and "us" refer to Smith Barney. The words "FMA account" refer to the FMA, FMA PLUS or Business FMA account from which payments for FMA Card purchases are debited.

Eligibility

The Program is available to enrolled FMA, FMA PLUS, Business FMA and International FMA accounts with the FMA Card in good standing. Contact your Financial Consultant with questions about enrollment. Account eligibility will be determined exclusively by Smith Barney, whose decision shall be final. All questions or disputes regarding account and transaction eligibility will be decided by Smith Barney, whose decision shall be final.

Program Fee

The annual Program fee of $50 entitles the Member to membership in the Program for a 12-month period beginning on the Enrollment Date. The Program fee will be automatically debited from the Member's FMA account annually. The Program fee is not refundable. The Program fee is waived for only one FMA, FMA PLUS or Business FMA account, designated the Primary Account, in a Select Client® household, as long as Select Client status is maintained. (For more information about Select Client status, contact your Financial Consultant.) The Travel & Rewards fee is not waived for a Business FMA account.

Point Accrual and Tracking

Once enrolled, you will accumulate one point ("Points") for each U.S. dollar in "Net Purchases." Net Purchases means the dollar value of goods and services purchased with the FMA Card after the Enrollment Date, minus any credits, returns or other adjustments as reflected on your monthly FMA Account statements. Only eligible purchases qualify for points. Cash transactions including but not limited to advances, ATM withdrawals, money orders and travelers cheque purchases do not qualify for points.


Points are posted only after payments for purchases have been debited. Earned Points will be posted to your FMA account statement and available for use two weeks from the date of posting. No points will be posted once the account has been cancelled.

Purchase returns or other credits reflected on your statements during or subsequent to the period of Program Membership will reduce or eliminate the Points available for redemption.

Points earned in your FMA account may not be transferred to any other account or combined with points from any other account. Points may be redeemed for American Airlines® AAdvantage® Miles in 5,000-point increments, but may not be transferred to any other frequent flyer or other rewards program.

Points earned by multiple FMA Card holders in a Member's FMA account will be credited only to that FMA account.

Business FMA account points are capped at 100,000 points per month, 250,000 points per year.

Only Business FMA accounts are entitled to earn points for business transactions. If business activity is detected in a personal FMA account, Smith Barney reserves the right to request that a Business FMA account is opened, or to cap a personal FMA account at 250,000 points annually.

The first Points posted will be the first Points to be redeemed or to expire. Smith Barney has extended point expiration from three years to five years. Active program participants will receive expiration reminders on their monthly statement beginning in January 2002. Please remember however, that if your Travel & Rewards membership is cancelled, your FMA card is cancelled, or your FMA account is closed, you will have 90 days in which to redeem any remaining points, after which they will expire.

If you close your FMA account or cancel your FMA Card(s) or Membership, you will have 90 days in which to redeem your Points; thereafter, all unused Points will be forfeited. Points will not be earned in any month during which membership is cancelled.

You are responsible for any taxes which may be owed as a result of Points earned and/or redeemed. Please consult your tax advisor if you have any tax questions about the Program.

Points and Program Certificates have no value except as used in accordance with the Terms and Conditions of the Program and Reward providers. Points have no cash value. They are not redeemable for cash, cannot be bought or sold, nor can they be used as payment for any obligation you owe to us.

Smith Barney reserves the right to terminate a Program membership at any time. Smith Barney also reserves the right to alter, substitute or terminate all or any part of the Program or any Reward Certificate, or to modify the Terms and Conditions of the Program for any reason. Should Smith Barney decide to terminate the Program, not less than 30 days prior written notice will be given to current participants, and participants will be allowed not less than 90 days following the effective date of Program termination to redeem outstanding points.

By participating in the Program, and accepting and using Program rewards, you or any other beneficiary of Program rewards release, discharge and hold harmless Smith Barney, the Program administrator, the FMA Card issuer, and their respective subsidiaries, affiliates, employees, officers, directors, successors and assigns from all claims, damages or liability including but not limited to physical injury or death, arising out of participation in the Program or travel taken as a Program reward.

Point Redemption and Rewards Information

Points can be redeemed for a variety of Program Rewards ("Rewards"). All Reward selections are subject to availability. To redeem Points for Rewards, Members may call the FMA Card Rewards Redemption Center at 1-800-507-9116, between 8:00 a.m. and 8:00 p.m., Eastern Time, Monday through Friday, or you can order online through smithbarney/rewards.com. Click on Redeem Points Now.

Many Rewards are issued as certificates by the Reward providers. Rewards and reward providers are subject to change and may be discontinued without notice.

Issuance of an airline certificate does not constitute a reservation. The certificate holder is responsible for making all reservations. At the 25,000, 50,000, 75,000, and 100,000 point levels, reservations and ticketing for the "Any Airline" Reward must be done through the FMA Card Reward Redemption Center at 1-800-507-9116. No other travel agency may be used.

Rewards will be sent to your statement address on your FMA account unless otherwise instructed in writing. By requesting shipment of a Program Reward to an address different from your FMA statement address, you assume sole responsibility for the receipt of the Reward.

Seven to ten days should be allowed for receipt of Rewards. Expedited delivery service is also available upon request for an additional cost of 1,000 points. International shipping costs will be the responsibility of the Member.

Smith Barney disclaims all responsibility for participant usage of airline tickets following receipt. Tickets may not be resold.

Some Rewards are limited to use within the U.S. and may have restrictions for shipment outside the U.S. Reward Certificates are void if altered or where prohibited by law.

Rewards are not replaceable if lost, stolen, destroyed or expired. Rewards are not returnable, exchangeable, refundable or redeemable for cash or credit under any circumstances.

Smith Barney has no liability in case of disagreement over issuance of or right to possess certificates.

Rewards are subject to the terms and conditions imposed by the Rewards provider, which in most cases appear on the Reward Certificate.

Expiration of Reward Certificates is subject to the policy of the Reward provider. See the individual Reward Certificate for details of specific expiration dates.

Reward providers are solely responsible for the fulfillment of Reward(s). Smith Barney has no further obligation once the Reward(s) is issued.

Reward Certificates must be presented and surrendered upon redemption.

In the event the goods and services you purchase are less than the face value of the Certificate(s) redeemed, the policy of the Reward provider will determine whether credit for the difference will be given. Smith Barney is under no obligation to provide credit or cash back. Generally, no credit or cash back will be given. Certain Reward Certificates may require a minimum purchase. Exceptions and other restrictions will appear on the Reward Certificate.

Point Expiration

Points earned from April 1997 through July 1997 will expire on July 31, 2002 unless redeemed before that date.

Points earned from August 1997 through July 1998 will expire on July 31, 2003 unless redeemed before that date.

Points earned from August 1998 through July 1999 will expire on July 31, 2004 unless redeemed before that date.

Points earned from August 1999 through July 2000 will expire on July 31, 2005 unless redeemed before that date.

If your FMA Account is closed or you terminate your Travel & Rewards membership, you will have 90 days to redeem your points before they expire.

Airlines

Airline Program Partners for Certificates at the 25,000 point level are American Airlines®, Northwest Airlines and US Airways.

Additional airline tickets may be purchased in conjunction with airline ticket reward redemption. All costs associated with additional travel arrangements are the responsibility of the Member and must be purchased with the FMA Card.

Maximum cost of a round-trip airline ticket may not exceed $500 for 25,000 point reward, $1,000 for 50,000 point reward, $1,500 for 75,000 point reward and $2,000 for 100,000 point reward. Costs above the maximum allowable amount must be purchased with the FMA Card.

Reward Providers

American Airlines® AAdvantage® Miles

FMA Travel & Rewards points can be redeemed in 5,000-point increments for an equivalent number of American Airlines AAdvantage Miles. AAdvantage Miles may be earned from flying American Airlines or through other AAdvantage program participants. American Airlines reserves the right to change the AAdvantage program at any time without notice. American Airlines is not responsible for products or services offered by other participating companies. American Airlines and AAdvantage are registered trademarks of American Airlines, Inc. American Airlines

Certificates valid for travel only on American Airlines and American Eagle for round-trip coach travel.

Transportation awarded from this Certificate can accrue mileage under American Airlines. Certificates must be redeemed at an American Airlines ticketing location.

Reservations are subject to availability, must be made 14 days prior to departure, and must be made through the American Airlines Special Services Desk. If calling American Airlines, call toll free 1-800-433-1790 from anywhere in the U.S. Reservations are to be made after your certificate has been received. Give your Starfile Code N*NYSMITH which appears on your certificate. Please check with the AA Special Service Agent for all restricted dates of travel.

Saturday night stay required.

Travel is available within the 48 contiguous United States or Canada or from California or Nevada to Hawaii.

Round-trip travel to the Caribbean is available for departures originating from the Eastern Time zone, or round-trip travel to the Eastern Time zone for departures originating from St. Thomas, San Juan or St. Croix.

Not valid for group or business travel and may not be used with any special fare, discount, coupon or other promotional offer.

Certificates are non-transferable and non-refundable once issued.

Open tickets cannot be issued, and stopovers are not permitted.

Taxes and fees applicable to the passenger's itinerary, including passenger facility charges, international departure taxes and fees and federal excise segment taxes, will be calculated and assessed at the time of ticketing and will be the responsibility of the passenger.

American Airlines 1st Class Certificates

Certificates valid for travel only on American Airlines and American Eagle for round-trip 1st class travel.

Transportation awarded from this Certificate can accrue mileage under American Airlines.

Certificates must be redeemed at an American Airlines ticketing location.

Reservations are subject to availability, must be made seven days prior to departure, and must be made through the American Airlines Special Services Desk. If calling American Airlines, call toll free 1-800-433-1790 from anywhere in the U.S. Reservations are to be made after your certificate has been received. Give your Starfile Code N*NYSMITH and the ICY code which appears on your certificate. Please check with the AA Special Service Agent for all restricted dates of travel.

Not valid for group or business travel and may not be used with any special fare, discount, coupon or other promotional offer.

Northwest Airlines

Certificates valid for round-trip travel originating in the 48 contiguous United States or Canada to any city on Northwest/KLM's system.

Travel is not permitted on NWA affiliate partners or other Northwest designated marketing partners.

No blackout dates apply.

Reservations can be made by contacting Northwest/KLM Incentive Services at 1-800-328-1111. Reservations must be made at least 14 days prior to departure and will be subject to availability in the proper class of service. Please reference NW Worldfile #NK347. Certificates are combinable for destinations beyond the 48 contiguous United States, Canada and Caribbean to Europe, Asia or Africa.

Saturday night stay required. Maximum stay-one year from the date of ticket issuance or the program's travel completion date, whichever occurs first.

Group travel or company-related travel not permitted.

Program travel is subject to Northwest/KLM's tariffs and the provision of the Warsaw convention, including but not confined to, the limits of liability.

Certificates can be exchanged for tickets at any Northwest/KLM Ticket office. Passengers must redeem their certificates within 14 days of confirming reservations or 14 days prior to departure, whichever occurs first.

Passengers traveling on tickets issued in exchange for certificates will be eligible for WorldPerks mileage credit.

Northwest Airlines 1st Class Certificates

Certificates may be combined for upgraded or international travel as follows subject to seating availability: —3 certificates allow for First Class travel to the 48 continguous United States, Canada, Mexico and the Caribbean. —6 certificates allow for First Class travel to Anchorage, Alaska and Honolulu, Hawaii. —10 certificates allow for First Class travel to Asia and Micronesia (Special Blackouts Apply).

US Airways

This certificate is applicable for ticketing on US Airways, US Airways Express, US Airways Shuttle and MetroJet by US Airways only.

US Airways Dividend Miles members may earn mileage credit.

Travel is available to US Airways destinations served within the contiguous United States, Canada, the Caribbean, Bermuda and Mexico.

Reservations are subject to availability and must be made by US Airways. Reservations are to be made after your certificate is received. Refer to Gold File number 41151353.

First Class Travel is available to US Airways destinations served within the contiguous United States, Canada, the Caribbean, Bermuda and Mexico.

Envoy Class Travel is available from the continental United States and Canada to destinations in Europe.

Reservations are subject to availability and must be made by US Airways. Reservations are to be made after your certificate is received.

Passenger is responsible for applicable taxes and fees, departure taxes and fees and federal excise taxes, to be calculated and assessed at time of ticketing.

Any Airline


The 25,000, 50,000, 75,000 and 100,000 point airline ticket rewards: Reservations and ticketing must be made through the Reward Redemption Center by calling 1-800-507-9116, Monday through Friday, 9:00 a.m. to 5:30 p.m., Eastern Time. Tickets will be delivered by a guaranteed delivery service and will be received seven to ten days from the time of ticketing.

At the 25,000, 50,000, 75,000 and 100,000 point levels: apply up to $500, $1,000, $1,500 and $2,000 respectively, toward the price of one round-trip airline ticket. Costs in excess of this are the responsibility of the Member and must be charged to the Member's FMA Card at the time of ticketing. Charter flights and consolidator fares are not available with "Any Airline" rewards.

Adventure Travel Packages

Prices are subject to change without notice.

Minimum 60-day advance booking notice is required for all packages.

Space is subject to availability.

Saturday night stay over at the destination may be required.

Any changes may increase the total trip price.

All packages are subject to change/cancel penalties by Mid-America Travel and package vendors.

Mid-America Travel reserves the right to substitute vendors without notice, based upon availability. Vendors would only be substituted if package price falls within allotted budget.

Mid-America Travel, its owners, agents and employees act only as a reservations agent for transportation, hotel and other travel related items.

Mid-America Travel will not be responsible for injury, loss or damage to person or property in connection with any trips chosen by the client/participant.

1st Class Travel Packages

Prices are subject to change without notice.

Minimum 120 day advance booking notice.

Airline reservations may require a Saturday night stay-over at the destination.

Space is subject to availability.

Any changes may increase the total trip price.

All packages are subject to change/cancel penalties by Mid-America Travel and package vendors.

If budget allows, upgraded accommodations will be provided, based upon availability.

Mid-America Travel reserves the right to substitute vendors without notice, based upon availability. Vendors would only be substituted if package price falls within allotted budget.

Trip Cancellation/Interruption insurance is available for an additional cost.

Hotel Stays

Hyatt Stay and Check Certificates

Hyatt Stay Certificates and Hyatt Check Certificates are redeemable only at participating Hyatt locations worldwide. Locations are subject to change without notice and acceptance varies by property. Not redeemable for cash or other substitutions, not replaceable if lost, destroyed, stolen, or expired except where prohibited by law, and void if altered, photocopied, or reproduced. Tax liability, if any, including disclosure, are user's responsibility. Certificate void if sold for cash or other consideration. The original certificate and identification will be required when you check in. Hyatt reserves the right to request a form of security deposit in advance for expenses not covered by the certificate. These certificates will not be extended beyond the expiration date except where prohibited by law. Terms are void where prohibited by law. Terms and conditions of the certificate are governed by the laws of the state of Maryland, USA. Hyatt Weekend Certificate

This Hyatt Weekend Certificate is redeemable only at participating Hyatt locations listed on the front of this certificate. Locations are subject to change without notice. This certificate is valid for the number of weekend nights indicated on the front. Certificate is good for one continuous stay comprising consecutive weekend nights at any one Hyatt. A weekend night is defined as either a Thursday, Friday, Saturday or Sunday night. No credit will be issued for any certificate that is not fully used. Accommodations are subject to availability at time of reservation and blackout dates may apply due to seasonal periods or special events. Valid for a standard guestroom, single or double occupancy, and may only be applied to the guestroom rate and associated taxes. A full American breakfast for up to two persons per certificate stay. Breakfast includes choice of juice or fruit, choice of breakfast entree and breakfast meat and choice of non-alcoholic beverage. Not valid in conjunction with Sunday/Holiday Brunch or Room Service. Breakfast must be redeemed at a Hyatt operated restaurant within the hotel which the certificate holder is registered. Gratuities not included. Not applicable for other food, beverage, service, or incidental charges. Gold Passport Points will not be given for the value of this certificate. Reservations for your Hyatt stay must be made in advance by calling (800) 555-0233. The certificate is not combinable with Upgrade certificates, other promotional certificates, group travel, tour packages, conventions, or special rate programs. Not redeemable for cash or other substitutions, not replaceable if lost, destroyed, stolen or expired except where prohibited by law, and void if altered, photocopied, or reproduced. Tax liability, if any, including disclosure, are user's responsibility. Certificate void if sold for cash or other consideration. Marriott

Marriott Cheques are valid at all Marriott Hotels, Resorts, Suites, Courtyard, Residence Inn, TownePlace Suites, Fairfield Inn, Fairfield Inn Suites, Marriott Vacation Club, and Renaissance locations. It is not necessary to be a registered guest to use Marriott Cheques. Marriott Cheques are accepted at face value in U.S. dollars. Change will not be given on cheques presented as payment for goods and services. Marriott Cheques are not replaceable if lost, stolen, destroyed, or expired. Marriott Cheques expire upon date imprinted on certificate. Call 1-800-228-9290 for hotel locations, information and reservations. the Ritz-Carlton® hotel company l.l.c. Certificates are valid at all Ritz-Carlton Hotel and Resorts. It is not necessary to be a registered guest to use Ritz-Carlton certificates. Certificates are accepted at face value in U.S. dollars, and will be converted into local currency value at the hotel's current exchange rate. The Ritz-Carlton currency is not replaceable if lost, stolen, destroyed or expired. Call for hotel locations, information and reservations: 1-800-241-3333.

Wyndham Hotels & Resorts

Enjoy the casual elegance of Wyndham Hotels & Resorts in more than 150 locations throughout the U.S., Caribbean and Canada. Wyndham Silver Certificates can be used at most Wyndham Garden Hotels, select Wyndham Hotels and Summerfield Suites by Wyndham. Wyndham Gold Certificates can be used at all Wyndham Silver locations plus most Wyndham Hotels. Wyndham Platinum Certificates can be used at select Wyndham Resorts and Wyndham Luxury Resorts as well as Wyndham Silver and Gold locations. Car Rental

Hertz®

Renter must meet Hertz credit and driver qualifications in effect at the time and place of rental. Minimal rental age is 25 (exceptions apply). Debit cards are accepted at the time of payment only. Credit cards required at the time of rental to secure the vehicle.
